Airnov Carved Out from $4B Parent, Clariant, in 9 Months

Airnov, a global leader in active solutions used to protect pharmaceutical, nutraceutical and diagnostic products from moisture and oxygen, was acquired by Arsenal Capital Partners in 2019 from Clariant Healthcare Packaging. As a result, Airnov engaged Syskoplan Reply LLC (Reply) to assess, plan and initiate the carve-out of its global SAP solution and other IT systems supporting its global business operations from Clariant.

This enabled Airnov to quickly and efficiently move to their own SAP ERP landscape supporting all functional areas of the business from finance to operations, while providing executive leadership the necessary data and analytics needed to run the business, and in alignment with Arsenal.

Reply provided expertise from carveout strategy to project delivery with minimal hypercare. The business was trained, and the system was steady. Clariant, Arsenal and Airnov all agreed the delivery was one of the best they had seen.

Challenges and Opportunities
  • Airnov was tasked to migrate to a new system with 100% identical configuration which included carve out of 6 legal entities in SAP ERP as well as 12 plants, 5 purchase organizations, and 5 sales organizations.
  • Reply was selected to support various aspects of the discovery in the current use of the system landscape as well as identify the structure and use of its future system landscape, applications and business processes. 
  • Project was delivered 100% remotely during the pandemic across 3 world regions (Asia: India/China, Europe: France/Switzerland/Germany, US: New Mexico/Ohio) 
  • Multiple rounds of testing and mock go lives helped Airnov prepare for the separation from parent 
  • Concerned that not all the business would be carved out properly however go live went without an issue and was 1-month early
