According to the Italian Stock Exchange Regulation, Reply S.p.A. has defined the following company events calendar for the year 2017:
The Shareholders’ Meeting called to approve the separate financial statements as of 31 December 2016 will be held on 21st April 2017 in first call and on 22nd April 2017 in second call.
Please note that any variation to the above reported calendar will be promptly communicatedd.
With regard to interim financial information, it should be noted that Legislative Decree 25/2016, which implemented Directive 2013/50/EU (so-called Transparency Directive), has abolished the requirement for Italian listed issuers to publish quarterly reports, while CONSOB has been entitled to request said issuers to publish voluntary additional periodic financial information.
Consequently, CONSOB has issued the new Art. 82-ter of the Regolamento Emittenti which entered into force since 2 January 2017, which enables issuers to continue to voluntarily communicate periodic financial information in addition to the yearly and half-yearly reports.
It should be noted, with regard to the issuers listed on the STAR segment of the MTA market (which includes Reply), that the Italian Stock Exchange Regulation provides on issuers to comply with further specific requirements related to transparency, liquidity and corporate governance.
In particular, with regard to the publication of the interim management report, Art. 2.2.3, paragraph 3, of the Italian Stock Exchange Regulation requires that STAR issuers, including Reply S.p.A., make the interim report available to the public within 45 days after the end of the first, third and fourth quarters of the financial year, without prejudice to the obligation to publish the fourth report if the annual financial report is made available to the public, together with the other documents referred to in Art. 154-ter, paragraph 1 of Legislative Decree 58/1998 (the “TUF”), within 90 days from the end of the year. In notice no. 7587, of 21 April 2016, the Italian Stock Exchange has made it clear that Art. 2.2.3, paragraph 3, of its Regulation shall continue to apply to STAR issuers. Consequently, the Company will continue to make the interim management reports available to the public, as it has done until now, referring in particular to the provisions of Art. 154-ter, paragraph 5, of the Consolidated Finance Act in force prior to the implementation of the Transparency Directive, and it will act in accordance with the principles and criteria set out by the new Art. 82-ter of the Regolamento Emittenti.
